Terms of service

Last updated:

1. Who you are contracting with

These terms govern the use of Melancer at melancer.com. The contracting party and provider of the service is MeetAgain UG (haftungsbeschränkt), Urbanstrasse 96, 10967 Berlin, registered as HRB 290582 B, Amtsgericht Charlottenburg ("we", "us"). Our full details are in the imprint. By creating an account you accept these terms in the version current at that time.

2. What melancer does

Melancer is web software for self-employed people and small businesses. It records working time against projects and clients, produces read-only reports you can share with your clients, prepares invoices as PDF files and sends them on your behalf, records expenses, and prepares figures and exports for your accounting. The functions available at any time are those described on melancer.com and visible in the application.

3. What melancer does not do

We do not provide tax, legal or business advice. Melancer prepares figures; it does not file anything with the Finanzamt or any other authority, and it does not replace your accountant or tax advisor. Checking that an invoice, a VAT figure or a booking is correct remains your responsibility.

Melancer never handles money between you and your clients. Your clients pay you directly, by whatever means you agree with them, and melancer only records what you tell it arrived. We are not a payment service provider and hold no client funds.

4. Business customers only

Melancer is offered exclusively to entrepreneurs within the meaning of § 14 BGB, to legal persons under public law and to public-law special funds. It is not offered to consumers. All prices are net, that is without value-added tax.

5. Your account

You need an account to use melancer. Give correct details, keep your password and any second factor to yourself, and tell us without delay if you believe someone else has access. One account belongs to one person; you may not share your credentials. You are responsible for everything that happens under your account.

6. Your content and your clients' data

Everything you enter or upload remains yours. We store and process it in order to run the service for you, and for nothing else. We do not use it to train anything, do not sell it, and do not pass it to third parties except the processors named in our privacy policy.

Where you enter personal data about your own clients, you are the controller for that data and we process it on your behalf. A data processing agreement under Art. 28 GDPR is part of these terms once it is available; until then, ask us for it and we will conclude one with you. You are responsible for having a legal basis for what you enter, and for what a report link you create makes visible to whoever holds it.

You are also responsible for your own retention duties. Melancer stores your invoices for as long as your account exists, and deleting your account deletes them; keeping what the law requires you to keep is your obligation, not ours.

7. Availability

Melancer is in beta. We run it with care, but we promise no particular availability, give no service level agreement, and may change, restrict or discontinue functions. Maintenance, faults and circumstances outside our control can interrupt the service. Take your own copies of what matters to you; the export under Settings gives you everything in one download.

8. Price

During the beta melancer is free of charge. Nothing is charged today, and no payment details are asked for.

If melancer starts to cost money, we will tell you at least 30 days beforehand by email and on melancer.com. Nothing will ever be charged without you agreeing to the price first. If you do not agree, your account continues in read-only form: you can sign in, read your data and export it, but not enter anything new. An account never loses its data because a payment is missing.

9. Liability

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and under the Produkthaftungsgesetz. For slight negligence we are liable only for the breach of an obligation whose fulfilment makes the proper performance of this contract possible in the first place and on whose observance you may regularly rely, and then only for the foreseeable damage typical of this kind of contract. Any further liability is excluded.

Because melancer is provided free of charge during the beta, § 599 BGB applies to that period, so our liability for it is limited to intent and gross negligence.

10. Term, termination and deletion

The contract runs for an indefinite period and either of us may terminate it at any time without notice. You terminate it by deleting your account under Settings, which removes your data immediately. We may terminate it with reasonable notice by email, and immediately for good cause, in particular if you use melancer unlawfully or endanger its operation. Take your export before you delete anything.

11. Changes to these terms

We may change these terms where that is necessary, for example because the service changes or the law does. We will tell you by email at least 30 days before a change takes effect. If you do not object before it takes effect, the change is agreed; we will say so in the notice. If you object, either of us may terminate the contract.

12. Applicable law and place of jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from this contract is Berlin, insofar as this can be agreed. If a provision of these terms is or becomes invalid, the rest remains in force.
